McInnes Wilson Lawyers has advised on the acquisition of national seed grading and treatment provider, SeedShield, from Nutrien Ag Solutions.

Summary of Transaction

SeedShield, a Western Australian-based seed grading and seed treatment provider, provides services to growers and farmers all across Australia.
Since 2013, SeedShield has been 100% owned by Nutrien Ag Solution Limited, who has grown the business from a small mobile fleet of seed grading and seed treating trucks to a national network.
McInnes Wilson Lawyers advised the buyer, ProAg Group, on the acquisition of the underlying assets and undertakings of SeedShield with effect from 1 November 2024. The transaction showcased McInnes Wilson’s expertise in the agricultural sector.

Value delivered by MCW

McInnes Wilson Lawyers advised ProAg Group in all aspects of the transaction including:
  1. legal due diligence on SeedShield;
  2. preparing and negotiating the principal asset purchase agreement;
  3. advising on the terms of a bespoke services agreement, pursuant to which ProAg Group will provide services to existing and ongoing customers of Nutrien;
  4. specialist duty advice on the transaction (including apportionment advise based on the location of the business’ operations and customers); and
  5. various completion matters.
