A business in the manufacturing industry
Client problem

Following on from issues identified in a vendor due diligence report, Seone provided advice on potential liability for the underpayment of wages and strategies to mitigate risk for a client in the manufacturing industry. The transaction involved both the sale of shares and an asset sale from a related body corporate. In reviewing the vendor’s rosters and employment agreements, Seone identified a substantial risk to the client due to the miscalculation of wages and overtime as well as potential underpayments of superannuation and leave loading. 

outcome achieved

Given that the quantum of the risk potentially threatened the viability of the transaction, Seone was asked to advise on the remediation strategy for a workforce of 150+ employees within a short timeframe.
 
Working with both the vendor and potential purchaser, Seone was able to successfully manage the remediation process, resulting in the satisfactory mitigation of risk for the vendor and the successful retention of key employees for the purchaser.

Seone advised an aviation-industry business on the risks and strategy for implementing a workforce-wide mandatory vaccination policy.

outcome achieved

The advice was multifaceted and included advice on compliance with various public health orders in each State and Territory, managing potential litigation arising from discrimination, adverse action and unfair dismissal claims, liaising with stakeholders such as key service providers and enforcing compliance with the mandatory vaccination policy in the service providers’ workforces, and considering privacy issues arising from gathering and holding sensitive health information. Ultimately, the mandatory vaccination policy was successfully rolled out to the workforce with minimal loss of key employees.

Seone acted for a company in the financial services sector in circumstances where a number of individuals brought claims of sexual harassment and sexual assault against the same franchisor, joining the company to the claims as being vicariously liable for the misconduct. 

outcome achieved

Seone successfully negotiated the early settlement of all claims with a view to minimising the company’s legal costs and negative publicity. Seone also provided advice on the management of future, anticipated claims relating to the same franchisor.
